This Agreement governs your use of all Services offered by ScienceWide. By agreeing to these terms, you agree to become bound by the Terms and Conditions of this Agreement. ScienceWide"s acceptance is expressly conditioned upon your assent to all the Terms and Conditions of this Agreement, to the exclusion of all other Terms.
The web pages available at www.sciencewide.com, and all linked pages unless indicated otherwise ("Site"), are owned and operated by Seed Media Group, and are accessed by you ("User") under the following terms and conditions:
In the course of using the Site or Services, you may be asked to provide certain personally identifiable information to ScienceWide (such information referred to hereinafter as "User Information"). Our information collection and use policies with respect to such User Information are set forth in the Site's Privacy Policy which is incorporated herein by reference for all purposes. You acknowledge and agree that you are solely responsible for the accuracy and content of its User Information. ScienceWide cannot and does not guarantee the security of any of the User Information that you may transmit online. In addition to reviewing this Agreement, you should also read our Privacy and Security Policy to better comprehend how we collect and use your personal information. You can access an online version of our Privacy Policy here. Your use of the site constitutes your agreement to its terms and conditions.
ScienceWide is expressly owned and operated by Seed Media Group. Unless otherwise noted, the design and content features on ScienceWide, including information and other materials, illustrations, product layout and design, icons, navigational buttons, images, artwork, graphics, photography, text, data, audio sound, software, as well as the selection, assembly, and arrangement thereof (the "Site Information"), are owned by Seed Media Group or its affiliates, or are licensed from third party service providers by Seed Media Group. The Site, as a whole and in part, is protected by copyright, trademark, service mark, trade name, and other intellectual property and other proprietary rights, and all other applicable rights are reserved.
Site Information is provided "as is" with all faults. You use the Site Information, as authorized herein, at your own risk. Site Information may contain errors, omissions, or typographical errors or may be out of date. ScienceWide may change, delete or update any Site Information at any time and without prior notice.
You may view and use the Site Information only for your personal information. Except as set forth in this Agreement, ScienceWide does not grant to you any right to use, reproduce, copy, modify, transfer, display, publish, sell, license, create derivative works, publicly perform, or distribute by any means, method or process any Site Information. Your right to use of the Site and the Services is personal to you -- you may not authorize others to use the Site and the Services, and you are responsible for all use of the Site and the Services by you and by those you allow to use, or provide access to, the Site and the Services. You agree to use the Site and the Services only for lawful purposes and you acknowledge that your failure to do so may subject you to civil and criminal liability.
The Site and the Services are not intended for users under the age of 18. To register for any Services offered on ScienceWide, you must be 18 years of age or older. If you are a minor under the age of 18, you may only use ScienceWide in conjunction with your parents or guardians.
You will need to provide us with certain information, including your name, address, phone number, and email address to open an account with ScienceWide. You shall provide ScienceWide with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of your account. You may not (i) select or use as a ScienceWide User ID a name of another person with the intent to impersonate that person; (ii) use as a ScienceWide User ID a name subject to any rights of a person other than you without appropriate authorization. We reserve the right to refuse registration of, or cancel a ScienceWide User ID in its discretion. We will assist you in creating a User ID and a password to protect your account information. You shall be responsible for maintaining the confidentiality of your ScienceWide password.
We maintain physical, electronic, and procedural safeguards and personnel policies that are designed to guard ScienceWide, our systems, and our Users' personal information. For example, for the security of your online visit to ScienceWide, we may make use of firewall barriers, encryption techniques, and/or authentication procedures. Unfortunately, no data transmission over the Internet can be guaranteed to be absolutely secure. As a result, while we strive to protect your personal information, ScienceWide cannot ensure or warrant the security of any Content you transmit to us, and you do so at your own risk. In the event of a breach of the confidentiality or security of your personal information, we will notify you as necessary so you can take appropriate protective steps. Unless you indicate otherwise, we may notify you under such circumstances using the email address you provided to us when you registered with ScienceWide.
Your failure to follow the requirements of this Agreement may result in suspension or termination of your access to the Services, without notice. SciencWide further reserves the right to terminate, without notice, any user's access to or use of the Site and its Services for any reason.
Either party may terminate the Services at any time by notifying the other party by any means. Any fees paid hereunder are non-refundable and non-cancelable. Upon termination of your account, your right to use the Services will immediately cease and you must remove all Company code from your Online Properties. All provisions of this Agreement, which by their nature should survive termination, shall survive termination, including without limitation ownership provisions, warranty disclaimers, and limitations of liability. Seed Media Group reserves the right without notice, at any time and for any reason, to terminate ScienceWide or any portion thereof or any products or Services offered through ScienceWide.
You are responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access the Site or otherwise use the Services, including, without limitation, hardware devices, software, and other Internet, wireless, broadband, phone, or other communication device connection services. You are responsible for ensuring that such equipment or ancillary services are compatible with the Site and any Services, and you are responsible for all charges incurred in connection with all such equipment and ancillary services, including any fees charged for airtime usage and/or sending and receiving messages or related notifications.
You agree to direct to ScienceWide and not to any advertiser or publisher, as the case may be, all communications regarding any matter arising out of your use of the Services. Without limiting the foregoing, you shall not initiate any communication of any kind that encourages, solicits, induces, diverts, entices, or otherwise takes away from ScienceWide the business or patronage of an advertiser or publisher of ScienceWide.
When you visit ScienceWide or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on ScienceWide. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
All materials displayed or performed on or accessible through the Site or Services (including, but not limited to text, graphics, articles, photographs, images, illustrations, audio clips, and video clips, also known as the "Content") are protected by copyright. The term "Content" as used herein specifically includes any advertising or other content made available or submitted by any advertiser and any website or other content published by or associated with any publisher. You shall abide by all copyright notices, information, and restrictions contained in any Content accessed in connection with the Services.
You acknowledge and agree that if you use any of the Services to contribute or make available Content, ScienceWide is hereby granted a non-exclusive, worldwide, royalty-free, transferable right to fully exploit such Content (including all related intellectual property rights) and to allow others to do so in connection with the Services and the Site. To the extent allowed by law, the foregoing includes all rights of paternity, integrity, disclosure, and withdrawal and any other rights that may be known as or referred to as "Moral Rights." To the extent you retain any such Moral Rights under applicable law, you hereby ratify and consent to any action that may be taken with respect to such moral rights by ScienceWide and agree not to assert any Moral Rights with respect thereto.

By posting Content or engaging in any other form of communication through ScienceWide, you grant Seed Media Group, and represent and warrant that you have the right to so grant a royalty-free, perpetual, non-exclusive, unrestricted, worldwide license to use, reproduce, modify, adapt, perform, display, transmit, and distribute such Content or communication and to prepare derivative works of, or incorporate into other works, and to grant and authorize sublicenses of the foregoing, for any purpose, including commercial purposes.
You acknowledge that Seed Media Group has not reviewed and does not endorse the content of third party sites linked to and from ScienceWide and is not responsible for the content or actions of these other sites, including those third party sites that may display Seed Media Group"s logos or subsequent brands. Your linking through ScienceWide to any site is at your own risk.
ScienceWide respects the intellectual property of others, and we ask our Users to do the same. We may, in appropriate circumstances and at its discretion, terminate the your access and account holders who infringe the copyright rights of others. If you believe that your work has been copied and is accessible on ScienceWide in a way that constitutes copyright infringement, or that ScienceWide contains links or other references to another online location that contains material or activity that infringes your copyright rights, you may notify our Designated Agent in writing of such infringement by providing the information required by the Digital Millennium Copyright Act. Please see our Copyright Policy for more information on how to report infringement of your copyright.
You acknowledge and agree that Seed Media Group has no special relationship with or fiduciary duty to any User and that ScienceWide has no control over, and no duty to take any action regarding: Which Users gain access to the Site or Services; what Content you access or receive via the Site or Services; what Content other Users may make available, publish, or promote in connection with the Services; what effects any Content may have on you, its users, or customers; how you or its users or customers may interpret, view, or use the Content; what actions you or its users or customers may take as a result of having been exposed to the Content, or whether Content is being displayed properly in connection with the Services.
Further, (i) if you are a publisher, you specifically acknowledge and agree that ScienceWide has no control over (and is merely a passive conduit with respect to) any Content that may be submitted or published by any advertiser, and that you are solely responsible (and assume all liability and risk) for determining whether or not such Content is appropriate or acceptable to you, and (ii) if you are an advertiser, you specifically acknowledge and agree that ScienceWide has no control over any Content that may be available or published on any publisher website (or otherwise), and that you are solely responsible (and assume all liability and risk) for determining whether or not such Content is appropriate or acceptable to you.
You release Seed Media Group from all liability in any way relating to your acquisition (or failure to acquire), provision, use, or other activity with respect to Content in connection with the Site or Services. The Site may contain, or direct you to sites containing information that some people may find offensive or inappropriate. ScienceWide makes no representations concerning any Content contained in or accessed through the Site or Services, and will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Site or Services. ScienceWide makes no guarantee regarding the level of impressions of or clicks on any Advertisement, or the timing of delivery of such impressions and/or clicks.
THE SERVICES, CONTENT, AND SITE ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THE RESULTS OF USE OF THE SERVICES, INCLUDING, WITHOUT LIMITATION, THE RESULTS OF ANY ADVERTISING CAMPAIGN, AND USER ASSUMES ALL RISK AND RESPONSIBILITY WITH RESPECT THERETO. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO USER.
Electronic Communications Privacy Act Notice (18 USC 2701-2711): SCIENCEWIDE MAKES NO GUARANTY OF CONFIDENTIALITY OR PRIVACY OF ANY COMMUNICATION OR INFORMATION TRANSMITTED ON THE SITE OR ANY WEBSITE LINKED TO THE SITE OR THROUGH ANY USE OF THE SERVICES.
ScienceWide will not be liable for the privacy of email addresses, phone, or communication device numbers, registration and identification information, disk space, communications, confidential or trade-secret information, or any other Content stored on its equipment and transmitted over networks accessed by the Site, or otherwise connected with your use of the Site or Services.
You agree to indemnify Seed Media Group and its affiliates, employees, agents, representatives, and third party service providers, and to defend and hold each of them harmless, from any and all claims, demands, and liabilities (including attorneys fees) which may arise from your access to the Site, use of the Services, the violation of this Agreement by you, or the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity.
IN NO EVENT SHALL SEED MEDIA GROUP BE LIABLE WITH RESPECT TO THE SITE OR THE SERVICES (I) FOR ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE FEES PAID BY YOU THEREFOR; OR (II) FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
Some of the Services require payment of fees. ScienceWide reserves the right to change its price list and to institute new charges at any time, upon prior notice to you, which may be sent by email or posted on the Site. If you are an advertiser, you shall pre-pay all applicable fees, as described on the Site, in connection with such Services selected by you. If you are a publisher, you shall receive a percentage of the Net Revenue of Advertisements associated with your use of the Services as solely determined by ScienceWide. "Net Revenue" shall mean revenues actually received by ScienceWide from the sale, use, or other disposition of Advertisements displayed on Publisher's Mobile Property less sales, use and excise taxes, less any agency commissions, carrier and/or partner fees, and less any allowances actually made or taken for returns, cash discounts or promotional allowances but excluding other revenues indirectly earned, if applicable, for consulting, planning and targeting, copywriting, site building, account management, or technical modifications or technical innovations which may be charged by ScienceWide to third parties from time to time. In addition, if you are a publisher, you agree that any payments that may become due to you (as described on the Site) are specifically conditioned upon ScienceWide"s receipt of full payment from the applicable advertiser. If we do not receive the applicable payment in full from any such advertiser, ScienceWide shall have no liability or responsibility to you (and you hereby release ScienceWide) with respect thereto. If you dispute any payment made in connection with the Services, you must notify ScienceWide in writing within thirty (30) days of any such payment. Failure to so notify ScienceWide shall result in the waiver by you of any claims related to such disputed payment. Payment shall be calculated solely based on records maintained by ScienceWide. No other measurements or statistics of any kind shall be accepted by ScienceWide or have any effect under this Agreement. ScienceWide shall not be liable for any payment based on (i) any fraudulent impressions generated by any person, robot, automated program, or similar device or for fraudulent impressions similarly generated on any advertisements, as reasonably determined by ScienceWide; (ii) impressions commingled with a significant number of fraudulent impressions or fraudulent clicks described in (i) above; or (iii) any breach of this Agreement by you. To ensure proper payment, you are solely responsible for providing and maintaining accurate contact and payment information associated with your account and ScienceWide User ID. You agree to pay all applicable taxes or charges imposed by any government entity in connection with your use of the Services.
If you are a publisher, you represent and warrant to ScienceWide that (i) you are the owner of each Mobile Property you designate in connection with the use of Services or that you are legally authorized to act on behalf of the owner of such Mobile Property for the purposes of this Agreement, and (ii) you have all necessary right, power and authority to enter into this Agreement and to perform the acts required of you hereunder. You further represent and warrant to ScienceWide that each of your Mobile Properties and any material displayed therein: (a) comply with all applicable laws, statutes, ordinances and regulations; (b) do not breach and have not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories; and (c) are not hate-related in content. If you are an advertiser, you represent and warrant to ScienceWide that (i) you are the owner of each Advertisement you designate in connection with the use of Services or that you are legally authorized to act on behalf of the owner of such Advertisement for the purposes of this Agreement, and (ii) you have all necessary right, power, and authority to enter into this Agreement and to perform the acts required of you hereunder. You further represent and warrant to ScienceWide that each of your Advertisements and any material displayed therein: (a) comply with all applicable laws, statutes, ordinances, and regulations; (b) do not breach and have not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity, or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories; (c) are not hate-related in content, and (d) are free from viruses and any other contaminants of any nature whatsoever.
The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. ScienceWide shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable, or sublicensable by you except with ScienceWide"s prior written consent. Both parties agree that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications, and other understandings relating to the subject matter of this Agreement, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this Agreement and you do not have any authority of any kind to bind ScienceWide in any respect whatsoever.
Seed Media Group makes no representation that the Site Information, the Services, or products offered through ScienceWide are appropriate, available, or legal in any particular location. Those who choose to access the Site Information, the Services, and products offered through ScienceWide do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. You agree that this Agreement, for all purposes, shall be governed and construed in accordance with the laws of the State of New York and any action based on or alleging a breach of this Agreement must be brought in a state or federal court located in New York City. In addition, both parties agree to submit to the exclusive personal jurisdiction and venue of such courts.
ScienceWide is hosted in the United States. If you are a non-U.S. user of ScienceWide, by visiting our website, using its Services, and/or providing us with any Content, you agree to comply with all federal and state U.S. laws governing the site, its Services, online conduct, and acceptable Content. You further agree to comply with all applicable laws regarding the transmission of data exported from the United States or the country in which you reside.
